Although we expect blockchain technology to bring great change in many fields, we do not see it as a panacea. Blockchain technology offers concrete benefits over prior approaches, but it also comes with real costs that can limit or preclude its use in some applications. To better assess the legal challenges facing existing and new applications of blockchain technology, however, it is important to understand the benefits and costs of the technology; that, in turn, requires understanding what blockchain technology is at a deeper, more technical level than existing publications for lawyers on this subject usually attempt. We think achieving that level of understanding is within the capabilities of most lawyers and is worth the effort to do so.
Mark W. Rasmussen is a Partner at Jones Day in Dallas, and a trial lawyer and counselor with nearly 20 years of experience representing clients in complex commercial litigation, securities litigation, regulatory and internal investigations, and bankruptcy matters. Since 2016, Mark has been advising clients on crypto assets, blockchain technology, and other fintech matters, including regulatory counseling and dispute resolution. In 2018, Mark was appointed by Chief Judge Barbara Lynn, of the Northern District of Texas, to be the first-ever receiver in an SEC enforcement action involving an ICO promoter. Mark has twice been named by the National Law Journal as a trailblazer in the cryptocurrency, blockchain, and fintech field. Samuel L. Walling is a Partner at Jones Day in Minneapolis, and an experienced litigator who, for more than a decade, has represented major corporations and financial institutions in highly complex commercial litigation and risk mitigation projects across federal, state, and appellate courts. He has experience defending a residential mortgage-backed securities (RMBS) trustee in numerous class actions and investor lawsuits involving billions of dollars in claims related to RMBS, collateralized debt obligations (CDOs), and special purpose vehicles (SPVs). He also has experience helping national financial institutions plan for the cessation of LIBOR. Sam has represented corporations as plaintiffs in high-stakes patent and securities law matters. Sam is an Associate Fellow of the Litigation Council of America (LCA) and a member of the Structured Finance Association (SFA), including its LIBOR Task Force. Dorothy N. Giobbe is of Counsel to Jones Day in New York. Dorothy’s practice focuses on fintech and the emerging technology space. She has an extensive track record of supporting innovative technology projects in the financial services industry. Dorothy also has more than a decade of in-house legal experience as a trusted advisor to C-suite leadership regarding blockchain, distributed ledger technology, crypto assets, quantum computing, machine learning/artificial intelligence, and bank regulation. Prior to joining Jones Day in 2021, Dorothy served as executive director and assistant general counsel of emerging technology at a global financial institution, where she served as a key advisor to the bank’s business leadership on emerging technology.
